Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agreement e-signature and document workflow platform ("Agreement" or the "Service") operated by Beezifi Inc. ("Beezifi," "we," "us," or "our"). By creating an account or using Agreement, you agree to these Terms.

1. The Service

Agreement is a cloud-hosted e-signature and document workflow platform that enables organizations to create, send, sign, and manage legally binding agreements. Features include an AI-powered agreement builder, digital signature collection, real-time tracking, workflow automation, template management, and API integrations.

2. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Agreement. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access.

Each organization may only have one active subscription. Creating multiple accounts to circumvent plan limits is not permitted.

3. Subscriptions and Billing

Agreement is offered on the following subscription plans:

Subscriptions are billed monthly in advance. All fees are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' notice. Payments are processed by Stripe. Failure to pay may result in suspension or termination of your account.

4. Free Trial

New organizations receive a 30-day free trial with full access to Agreement features. No credit card is required to start a trial. At the end of the trial, continued use requires selecting a paid plan. Unused trial days are not credited toward a paid subscription.

5. Acceptable Use

You agree not to use Agreement to:

• Forge, falsify, or misrepresent any document or signature
• Collect signatures under fraudulent or deceptive pretenses
• Violate any applicable law, regulation, or third-party rights
• Transmit malicious code, spam, or unsolicited communications
• Attempt to reverse-engineer, scrape, or circumvent any security measure
• Use the Service in any way that could harm Beezifi or other users

We reserve the right to suspend or terminate any account that violates these restrictions without notice.

6. Your Data and Content

You retain full ownership of all documents, agreements, and data you create or upload to Agreement ("Your Content"). By using the Service, you grant Beezifi a limited, non-exclusive license to store, process, and transmit Your Content solely to provide the Service.

We act as a data processor with respect to personal data included in Your Content. We do not analyze Your Content for advertising purposes, and we do not use Your Content to train machine learning models.

7. Legal Validity of E-Signatures

Agreement is designed to produce e-signatures that comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act), the Uniform Electronic Transactions Act (UETA), and the EU eIDAS Regulation (for basic electronic signatures). You are responsible for determining whether Agreement meets the specific legal requirements for your use case and jurisdiction. Beezifi does not provide legal advice.

8. Intellectual Property

Agreement, including its software, design, AI models, and documentation, is owned by Beezifi Inc. and protected by intellectual property laws. These Terms do not transfer any ownership rights to you. "Agreement" and "Beezifi" are trademarks of Beezifi Inc.

9. Confidentiality

Each party agrees to keep confidential any non-public information of the other party disclosed in connection with these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BEEZIFI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEZIFI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO BEEZIFI IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100. BEEZIFI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Your data will be preserved for 30 days after cancellation for recovery, then permanently deleted.

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if required by law. Upon termination for cause, data deletion may occur without the 30-day grace period.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may revise these Terms from time to time. We will provide at least 30 days' notice of material changes by email and by posting a notice on the Service. Continued use after the effective date constitutes acceptance of the revised Terms.
